Terms of Service

1. Overview
These Terms of Service govern your use of the Oak & Grid website at oakandgrid.com and the professional services provided by Oak & Grid LLC, a limited liability company based in Dallas, TX. By accessing our website or engaging our services, you agree to be bound by these terms.

2. Our Services
Oak & Grid provides creative and digital services including web design, branding, product strategy, and mobile app design. The specific scope, deliverables, timeline, and fees for any client engagement are defined in a separate project agreement or proposal issued to the client. In the event of any conflict between these Terms of Service and a signed project agreement, the project agreement takes precedence.
3. Project Agreements and Payment
Payment structures vary per project and are outlined in the proposal or agreement provided before work begins. This may include upfront deposits, milestone-based payments, or other arrangements agreed upon in writing.
All invoices are due by the date specified in the project agreement. If payment is not received by the due date, Oak & Grid reserves the right to:
- Pause all work on the project immediately until the outstanding balance is settled
- Apply a late payment fee as specified in the project agreement
Work will resume only once the overdue amount, including any applicable late fees, has been paid in full. Oak & Grid is not liable for any delays to the project timeline resulting from a payment pause.
4. Cancellation and Kill Fee
Either party may terminate a project by providing written notice to the other. If a client cancels a project after work has commenced, the following applies:
- Any deposit paid is non-refundable
- The client retains ownership of all work completed and approved up to the point of cancellation
- Any outstanding balance for work completed but not yet invoiced remains due and payable
Oak & Grid reserves the right to terminate an engagement if a client acts in a manner that is abusive, unlawful, or contrary to our values. In such cases, payment for all work completed to that point remains due.
5. Intellectual Property and Ownership
Upon receipt of full and final payment for a project, Oak & Grid transfers ownership of the agreed deliverables to the client. This includes final design files, brand assets, and any other materials specified in the project agreement.
Oak & Grid retains ownership of the following regardless of payment:
- Preliminary concepts, drafts, and work not selected or approved by the client
- Proprietary processes, methodologies, templates, and base design components developed independently by Oak & Grid
- Any tools, systems, or frameworks created prior to or outside of the specific client engagement
The client is solely responsible for ensuring that any content, materials, trademarks, or other assets they provide to Oak & Grid for use in a project do not infringe the rights of any third party. Oak & Grid accepts no liability for intellectual property claims arising from client-supplied materials.
6. Third-Party Costs
Some projects require the use of third-party assets or services such as licensed fonts, stock photography, illustration libraries, plugins, or software subscriptions. Responsibility for these costs — whether borne by the client or built into the project fee — will be agreed upon in writing before any third-party purchase is made. Oak & Grid will not incur third-party costs on a client's behalf without prior approval.
7. Post-Launch Support
These Terms of Service and individual project agreements cover the design and delivery of agreed work only. Ongoing support, maintenance, updates, or revisions following project completion are not included unless covered under a separate retainer agreement. Clients wishing to engage ongoing support should contact hello@oakandgrid.com to discuss retainer options.
8. Portfolio and Case Studies
Oak & Grid reserves the right to feature completed client work in our portfolio, on social media, and in marketing materials for the purpose of showcasing our services. We will always credit clients appropriately where relevant.
For in-depth case studies published on our website or third-party platforms, we will seek written approval from the client before publishing. Clients may request reasonable amendments to how their project is described in a case study.
If a client wishes to restrict how their work is featured, this must be agreed upon in writing before the project commences.
9. Client Responsibilities
To enable Oak & Grid to deliver work effectively, clients agree to:
- Provide accurate, complete, and timely information, content, and feedback as required
- Designate a primary point of contact with authority to approve work on behalf of their organisation
- Review and respond to submitted work within the timeframes agreed in the project agreement
Delays caused by late client feedback, missing content, or failure to approve work in a timely manner may affect project timelines. Oak & Grid is not liable for missed deadlines resulting from client-side delays.
10. Approvals and Client Sign-Off
Oak & Grid operates on a formal approval basis. Once a client approves a deliverable in writing — whether by email, message, or signature — that deliverable is considered accepted. Requests to make changes to approved work may be treated as new work and quoted accordingly.
11. Limitation of Liability
Oak & Grid's services are provided with reasonable professional skill and care. However, once work has been reviewed and approved by the client, responsibility for the use of that work passes to the client.
Oak & Grid is not liable for:
- Any indirect, consequential, or incidental damages arising from the use of our services or deliverables
- Loss of revenue, profits, data, or business opportunities
- Any claims arising from client-supplied content, materials, or instructions
- The performance or failure of any third-party tools, platforms, or services used in connection with a project
In all cases, Oak & Grid's total liability to a client shall not exceed the total fees paid by that client for the specific project giving rise to the claim.
12. Disclaimer of Warranties
Oak & Grid makes no guarantees regarding specific business outcomes resulting from our work, including but not limited to website traffic, search engine rankings, conversion rates, revenue, or brand performance. All creative and strategic work represents our professional judgement and expertise, but results depend on many factors outside our control.
13. Right to Decline Work
Oak & Grid reserves the right to decline to take on any project or to discontinue work with any client where we determine, at our sole discretion, that the engagement conflicts with our values, involves unlawful activity, or is otherwise not a suitable fit. In the event of termination under this clause, payment for all work completed to that point remains due.
14. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of Texas. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Texas.
15. Changes to These Terms
Oak & Grid reserves the right to update these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after any changes constitutes your acceptance of the revised terms. For active client engagements, the terms in place at the time of the signed project agreement apply unless both parties agree in writing to updated terms.
